These Terms and Conditions (the “Agreement”) govern your use of Visionlight AI – VisualFX Studio, a platform created and operated by Visionlight Production Inc. (“we,” “us,” or “our”). By accessing or using Visionlight AI, VisualFX Studio, or the FX dashboard engine, you agree to be bound by this Agreement.

Visionlight AI, VisualFX Studio, and the FX dashboard engine (“FX”) are products of Visionlight Production Inc.

Platform Description

Visionlight AI – VisualFX Studio is a creative, AI-powered platform that allows users to build, deploy, and operate visual production platforms, studios, and workflows across the VisualFX Studio ecosystem. The platform supports multimedia generation, visual effects, animations, and AI-assisted renders. The FX dashboard engine integrates multiple third-party AI services and APIs to enable rendering, processing, automation, and orchestration.

Use of Third-Party AI Services and Infrastructure

Visionlight AI relies on third-party services, including but not limited to AI model providers, cloud infrastructure, storage services, networking providers, and content delivery networks.

As a result:

  • We cannot guarantee performance, speed, availability, uptime, output quality, or accuracy.
  • We are not responsible for delays, failures, outages, or errors caused by third-party services or APIs.
  • We are not liable for losses, damages, or costs resulting from third-party interruptions, incorrect outputs, pricing changes, or service limitations.
  • AI-generated outputs may be unpredictable, inconsistent, or incomplete and must be reviewed by the user.

Platform Availability

Visionlight AI and VisualFX Studio are provided on a best-effort basis. We do not guarantee uninterrupted or error-free operation. Availability may be affected by:

  • Server or infrastructure outages
  • API disruptions
  • Maintenance windows
  • Network or provider issues outside our control

We assume no liability for downtime, service interruptions, or data loss caused by external systems.

User Responsibilities

By using Visionlight AI, you agree to:

  • Provide accurate and current account information.
  • Comply with all applicable laws and regulations.
  • Take full responsibility for all content, configurations, and activity conducted within your platform or studio.

Content Restrictions

You may not upload, create, distribute, or request:

  • Explicit, pornographic, or sexually inappropriate content
  • Hateful, abusive, violent, or discriminatory material
  • Illegal, infringing, or unlawful content

We reserve the right to remove content or restrict access at our discretion.

Intellectual Property & Platform Ownership

  •  All core proprietary technology, including the FX dashboard engine, system architecture, internal tooling, algorithms, workflows, interfaces, and infrastructure, is owned by Visionlight Production Inc.
  • Users who build or deploy a custom platform or studio through Visionlight AI own their individual platform implementation, including studio name, branding, configurations, and user-facing experience.
  • The FX dashboard engine and related backend systems are licensed, not sold.
  • This license is non-transferable and limited to operation within the Visionlight AI ecosystem unless otherwise agreed in writing.
  • Users retain ownership of their original assets and generated content, subject to third-party AI service terms.
  • Users grant Visionlight Production Inc. a limited license to process, store, and display content solely for platform operation, support, and maintenance purposes.
  • Users are responsible for ensuring they have the legal rights to all uploaded or generated content.

Payments, API Billing, Hosting, and Storage

  • Visionlight AI does not resell or apply markup to third-party AI model usage.
  • Users are responsible for supplying, securing, and managing their own API keys for AI models and third-party services.
  • All AI model usage, compute, and API-related costs are billed directly to the user by the respective providers.
  • Visionlight AI does not control or manage third-party API billing.
  • Hosting, infrastructure, bandwidth, and storage may rely on third-party providers and are subject to change due to usage, availability, or provider pricing updates.
  • Storage rates and hosting costs may be adjusted over time based on operational requirements or third-party provider changes.

Platform Access for Support and Development

  • Visionlight Production Inc. reserves the right to access any part of the platform, dashboard, configuration, logs, or system components.
  • Such access may be used for technical support, troubleshooting, maintenance, security, platform development, and optimization.
  • Access will be performed in a reasonable and professional manner and limited to what is necessary for operational purposes.
  • Users acknowledge that platform access is required to provide effective support and maintain system integrity.

Interface, Features, and AI Model Updates

  • Visionlight Production Inc. reserves the right to update, modify, replace, or discontinue any part of the VisualFX Studio interface, workflows, tools, or features at any time across the ecosystem.
  • AI models, providers, versions, and capabilities available within VisualFX Studio are subject to change based on availability, performance, legal considerations, industry developments, or third-party provider decisions.
  • We do not guarantee the continued availability of any specific AI model, feature, workflow, or interface.
  • Changes may occur without prior notice and may affect outputs, workflows, performance, or results.
  • Continued use of the platform constitutes acceptance of such updates or changes.

Prohibited Actions

Users may not:

  • Reverse-engineer, exploit, or bypass platform safeguards or licensing mechanisms.
  • Interfere with system security, performance, or integrity.
  • Use the platform for unlawful, malicious, or harmful purposes.

Violations may result in immediate suspension or termination.

Limitation of Liability

To the maximum extent permitted by law:

  • Visionlight Production Inc. is not liable for indirect, incidental, punitive, or consequential damages.
  • Liability, if required by law, is limited to amounts paid directly to Visionlight AI for the affected service.
  • We are not responsible for third-party failures, provider outages, pricing changes, or AI output expectations.

Disclaimer of Warranties

Visionlight AI, VisualFX Studio, and FX are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Non-infringement
  • Continuous or error-free operation

Privacy

User data is collected only as necessary to operate and support the platform. We do not sell personal data. A separate Privacy Policy applies.

Account Termination

We may suspend or terminate accounts for:

  • Violations of these Terms
  • Abuse or misuse of the platform
  • llegal or harmful activity
  • Security, operational, or compliance concerns

Termination may result in loss of access to data, systems, or services.

Changes to Terms

We may update these Terms at any time. Continued use of the platform constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of Manitoba, Canada, without regard to conflict-of-law rules.

Acceptance

By creating an account or using Visionlight AI or VisualFX Studio, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

Project Operation, Support, and Refund Policy

  • Once a project or platform build has been started, Visionlight AI will ensure the system is operational from a configuration and deployment standpoint.
  • We provide reasonable technical support to assist users in resolving platform-related issues.
  • We cannot guarantee uptime, performance, storage availability, or hosting reliability of third-party services such as cloud providers, storage systems, or content delivery networks, as these are outside our control.
  • Refunds are not guaranteed once a project has begun.
  • Refunds may be considered only where Visionlight AI fails to deliver the agreed platform setup due to internal error.
  • No refunds are issued for third-party outages, provider failures, pricing changes, or external service disruptions.

GDPR Compliance (EU Users)

EU users have rights under GDPR, including access, correction, deletion, portability, and withdrawal of consent. Data is processed only as necessary to operate and support the platform.

COPPA Compliance (Children Under 13)

Visionlight AI is not intended for children under 13. If data from a child under 13 is identified, it will be deleted immediately.

DMCA Policy

DMCA takedown requests must include:

  • Contact information
  • Description of copyrighted work
  • URL of alleged infringement
  • Good-faith belief statement
  • Accuracy and perjury statement
  • Digital or physical signature

  • AI-generated outputs require human review and judgment.
  • Users are responsible for maintaining independent backups of their data.
  • Experimental, beta, or preview features may be modified, replaced, or discontinued at any time without notice
